Enterprise Content Management & Record Archiving Rules for the Securities Industry

Originally intended for paper documents, the Securities Exchange Act of 1934 and, more importantly, U.S. Securities and Exchange Commission (SEC) Rules 17a-3, 17a-4 and 17ad-7 were implemented to better define Record Archiving Rules for the Securities Industry. Today, however, these SEC Rules also include electronic information and specify which documents should be stored, including securities sales records, ledgers reflecting assets and liabilities, securities borrowed or loaned, dividends and interest received and retention schedules. These rules also require all business communications and copies – paper, email, or audit reporting – be indexed, searchable for three years, and stored on unalterable media.

Failure to comply with SEC Rules 17a-3, 17a-4 and 17ad-7 can result in millions of dollars in fines. And no one is immune.

“In response to a cited email archiving violation of SEC 17a-4, five of the largest investment banks in the world (Goldman, Sachs 8a Co., Citigroup Inc.’s Salomon Smith Barney, Morgan Stanley 8a Co., Deutsche Bank Securities Inc. and US. Bancorp Piper Jaffray Inc.) have agreed to pay a fine of more than $8 million,”  according to the Wall Street Journal.
